(1)Taxation. The firm’s tax lawyers handle a diverse range of tax and tax-oriented business transactions, estate planning and other tax issues for wealthy individuals and closely held corporations. (2)Corporate. The firm’s corporate lawyers provide a full range of legal services in business transactions, including general, corporate, mergers and acquisitions, securities underwritings and registrations and financial and commercial matters for domestic and international clients. The corporate practice emphasizes the representation of clients in sophisticated transactions, including leveraged buyouts, work-outs and restructuring, venture capital investments, public securities offerings, private placements and bank financing, including loans to and offerings by companies in the entertainment and other industries. The firm also handles the documentation of loans and other commercial transactions for its clients in many areas of business.

(3)Real EstateThe firm’s real estate lawyers work in all areas of real property law. Representing borrowers, developers and lenders, with special expertise in the following areas: (i) acquisitions and sales of real property, including both raw land and developer’s projects; (ii) all facets of real property development, from subdivision and acquisition of entitlements to construction; (iii) financing of all types of transactions, from acquisition and contribution loans to refinancing and workouts; (iv) leasing of commercial, industrial and retail space, as well as ground lease transactions; (v) investment vehicle structuring and formation of limited partnership, general partnerships, limited liability companies, corporations and joint ventures; (vi) syndication structuring and sales, including tax and securities law aspects; and (vii) title insurance issues and disputes.

(4)International. The firm’s international lawyers work principally in the area of international business transactions, including business contracts, buying and selling foreign real property, formation, operation and liquidation of foreign corporations, limited liability companies and foreign partnerships and joint ventures.  The firm’s lawyers have substantial experience structuring operations in Mexico with U.S. and Mexican clients, as well representing clients in Russia and the Commonwealth of Independent State (Former Soviet Union).
